Terms and conditions

The agreements that apply when you work with Kattenberg 118 on web design, web development or maintenance. So you know where you stand from the start.

Who we are and what these terms cover

Kattenberg 118 is the sole proprietorship of Jonas Smets, Kattenberg 118, 2140 Borgerhout (Antwerp), Belgium. Company and VAT number: BE1040391415. [email protected], +32 456 56 80 05.

These terms apply to all quotes, projects and services of Kattenberg 118: designing and building websites, online shops and apps, and maintaining them. Deviations only apply if we agree on them in writing; an email is enough. A client's own general terms do not apply unless we expressly accept them.

If you are a consumer, the rules that the law makes mandatory for consumers always continue to apply, even where these terms say otherwise.

Renting the workspace at Kattenberg 118 is not covered here; the rental terms apply to that.

Quotes

  • A quote is valid for 30 days, unless it states a different period.
  • The quote is based on the information you gave us at the time. If the request changes, the price may change too.
  • A project only starts once you have accepted the quote: online via the approval link, or in writing.
  • Prices exclude VAT, unless stated otherwise.
  • Work that is not in the quote is discussed with you first and charged separately.

How we work together

  • Kattenberg 118 carries out every project carefully and to the best of its ability. This is an obligation of means: we do everything we can to reach the agreed result, but cannot guarantee a specific outcome (such as visitor numbers, sales or a ranking in Google).
  • A good result also needs your cooperation. You provide the texts, images, access and feedback we need in good time, and you confirm that you have the right to use that material.
  • Schedules and delivery dates are estimates. If information or feedback arrives later, the schedule moves with it.
  • If you stop a project that is under way, the work already done will be charged.

Invoicing and payment

  • We send invoices by email. Peppol is also possible.
  • Invoices are payable within 30 days of the invoice date, unless a different term is stated.
  • If an invoice remains unpaid after a reminder, Kattenberg 118 may suspend ongoing work and services until payment is received. For business clients, the statutory rules on late payment (interest and compensation for recovery costs) also apply.
  • If you have a question about or objection to an invoice, let us know within 14 days of receiving it.

Intellectual property

  • Once a project has been paid in full, the rights to the custom work we made for you (design, code, texts we wrote for you) transfer to you. Until then, they remain with Kattenberg 118.
  • Third-party components, such as themes, plugins, fonts, stock images and open-source software, remain under their own licence.
  • General knowledge, methods and reusable building blocks that were not made specifically for you may continue to be used by Kattenberg 118.
  • Kattenberg 118 may show the work in its portfolio and on its own channels, unless we agree otherwise.

Hosting and third-party services

A website often runs on services from others: domain names, hosting, email, payment providers, platforms such as Shopify, and more. Those services are governed by the supplier's terms. Kattenberg 118 helps you choose and set them up, but is not liable for outages, price changes or decisions by those parties. Third-party costs are passed on as stated in the quote or proposal.

Maintenance plans

Maintenance is offered as a plan. The exact scope and the specific plan terms are set out in the proposal and apply once you accept it. Where those terms conflict with these, they take precedence. In short:

  • A plan runs for a fixed period: 3, 6, 12 or 24 months.
  • It does not renew automatically. At the end of the term it stops, unless you choose to renew.
  • You pay monthly, via Stripe.

Liability

  • The liability of Kattenberg 118 is limited to the amount invoiced for the project concerned.
  • Kattenberg 118 is not liable for indirect damage, such as lost profit, lost revenue or loss of data.
  • These limits do not apply in case of intent or gross negligence.
  • Keep your own backup of anything that matters to you, unless backups are expressly part of your maintenance plan.

Privacy

How Kattenberg 118 handles personal data is explained in the privacy policy at kattenberg118.be/privacy. If, for a project, we process personal data on your behalf (for example of your customers), we make separate arrangements for that where needed.

Governing law and disputes

These terms and every collaboration are governed by Belgian law. If something goes wrong, we first look for a solution together. If that fails, the courts of Antwerp have jurisdiction, without prejudice to the mandatory rules that apply to consumers.

This English version is a translation for convenience; in case of doubt, the Dutch text prevails.

Changes

Kattenberg 118 may update these terms. For a project under way, the terms that applied when you accepted the quote remain in force. The date at the top shows when the text last changed.
